A well-established organization is seeking a seasoned legal professional with expertise in corporate and contract law to provide comprehensive legal oversight on privatization transactions and related corporate matters. The ideal candidate will bring extensive experience managing complex legal issues in the public sector, including mergers and acquisitions, divestments, and corporate litigation. This role requires a strategic legal advisor capable of managing litigation, ensuring regulatory compliance, and offering sound legal guidance to senior management. Additionally, the successful candidate will lead and develop an internal legal team, fostering professional growth and enhancing the organization’s legal capabilities.
Key Responsibilities
Provide legal oversight for all privatization transactions by reviewing and approving legal structures, documentation, and contractual frameworks. Conduct thorough legal due diligence to identify potential risks and ensure compliance with applicable laws, regulations, and sector-specific authorities. Manage and oversee litigation involving the Commission, coordinating efforts with internal teams and external counsel to achieve favorable outcomes. Draft, review, and negotiate critical transaction documents, including Sale and Purchase Agreements (SPAs), concession agreements, and Public-Private Partnership (PPP) contracts. Vet submissions prepared for the board, the Committee of the Privatization Commission (CCoP), and other relevant forums to ensure accuracy and legal soundness. Supervise external legal advisors and collaborate with the litigation function to monitor legal exposure, manage case backlogs, and implement risk mitigation strategies. Provide legal advice on policy, legislative, and regulatory matters affecting privatization, supporting senior management on governance and compliance issues. Lead and build the internal legal team’s capacity through mentoring and professional development initiatives. Perform additional duties as assigned by the competent authority to support organizational objectives.
Required Qualifications
A law degree from a Higher Education Commission (HEC)-recognized university is essential. The candidate must have a minimum of 12 years of post-qualification experience in corporate law, public sector legal matters, commercial agreements, divestments, mergers and acquisitions, privatization, and corporate/commercial litigation. A valid license to practice law in the Supreme Court of Pakistan or High Court of Pakistan is mandatory.
Preferred Qualifications and Benefits
Specialization in contract and corporate law is highly desirable. Candidates holding an LL.M. degree and bar-at-law qualification will be given preference. The remuneration package is benchmarked at the MP-I level, reflecting the seniority and expertise required for this position.
