Legal Associate

As a Legal Associate at RSCA, you will be required to have hands-on knowledge of corporate laws in Pakistan, particularly the Companies Act, 2017 and various regulations promulgated thereunder. An understanding of the principles of natural justice and administrative law will greatly bolster your ability to approach issues with clarity. A Legal Associate will be required to be familiar with any of the following laws (non-exhaustive):

The Securities & Exchange Commission of Pakistan Act, 1997 and various regulations thereunder;
The Companies Act, 2017 and various regulations thereunder;
The Securities Act, 2017 and various regulations thereunder;
The Competition Commission Act, 2010 and various regulations thereunder;
The Anti-Money Laundering Act, 2010
The Central Depository Act, 1997
The Modaraba Companies and Modaraba (Floatation and Control) Ordinance, 1980 and laws thereunder;
The Insurance Ordinance, 2000, and laws thereunder.

With respect to the above and other laws, a Legal Associate may be required to do the following (non-exhaustive):

Drafting and preparing responses to various applications and complaints;
Drafting of responses to show cause notices;
Drafting of Section 33 appeals under the SECP Act, 1997;
Drafting of petitions under the Companies Act, 2017 and the Companies (Court) Rules, 1997;
Drafting of schemes of arrangements, compromises, and reconstruction;
Drafting of detailed legal opinions and advisory notes;
Drafting of various types of agreements, contracts, and deeds;
Drafting, amendments, and review of memorandum and articles of association, minutes of meetings and notices of meetings;
Responding to legal queries;
Preparing case briefs and summaries;
Conducting, summarizing, and presenting research about issues at hand based on case laws/relevant materials found in local and international jurisdictions
