¶ Implement and monitor internal audit policies, procedures and guidelines and report to Board Audit Committee (BAC).
¶ Develop and implement annual Internal Audit Plan, with Board Audit Committee (BAC) approval.
¶ Coordinate and assist with the preparation of Audit Committee materials. Participate in quarterly or more frequent Audit Committee meetings to present reports and findings.
¶ Ensure compliance with statutory obligations, requirement of various laws applicable. Compliance with regulations and controls by examining and analyzing records, reports, operating practices, and documentation; recommending opportunities to strengthen the internal control structure.
¶ Develop and continuously evaluate internal controls for improvement in processes and policies. Recommendations for improving internal audit controls, operating efficiency, and the adequacy of records, and proper documentation of processes.
¶ Assist the management in investigation of cases of fraud and report to the Board Audit Committee (BAC) concerns about any actual, potential, and perceived improprieties in financial or other matters.
¶ Analyze and evaluate adequacy, effectiveness, efficiency and Prepare audit reports highlighting issues/problems along with solution, and distributing the same to the relevant people.
¶ Monitoring the Payment Verification function to ensure that all payments are accurate, legitimate and are in line with the company’s policies.
¶ Conduct special studies and risk assessments for management and Board to discover or detect fraud and to develop controls for fraud prevention.
¶ Participates in meetings with individuals and departments to update on findings, where necessary.
¶ To ensure overall corporate secretarial and regulatory compliance in developing various corporate reports/ communications, maintenance of websites, publication of corporate ads, notices in newspapers, etc.
¶ To handle affairs of shares’ department and other related issues including but not limited to shares transmission, succession, dividend payments, and related reconciliations.
¶ To support in maintaining statutory documents, filing statutory returns, the conduct of external audits, and liaising with other departments of the company.
¶ To manage effective relationship with the company registrar offices and auditing and review of compliance with best practices of the listed companies’ code of corporate governance regulations.
¶ Any other issue or matter as may be assigned by the Board Audit Committee (BAC) or the CEO.
¶ Execution of the following assurance/engagements which include but are not limited to a) Audit assignments b) Review Assignments c) Compliance Engagements d) Special Investigations e) Agreed upon Procedures.
¶ Professional duty to provide an unbiased and objective view on effectiveness of controls through audits conducted as per approved audit plan by management in I. Financial II. Internal Control III. Economic Responsibility IV. Risk Assessment V. Construction.
¶ Evaluate and improve the effectiveness of control processes. Provide Senior Management with assurance that helps them to fulfill their duties to the organization and its stakeholders.
¶ Implementation of efficient execution plans to improve controls within the organization with objectivity and independence, also recommend methods to enhance and improve control procedures.
¶ Develop an understanding of the business area under review, including objectives, measurements, key transaction types, review of documents and interviews. Flowcharts and narratives may be created if necessary.
¶ Describe the key risks facing the business activities within the scope of the audit.
¶ Identify management practices, compare to the best practice control framework and ensure each key risk is properly controlled and monitored.
¶ Develop and execute a risk-based sampling and testing approach to determine whether the most important management controls are operating as intended.
¶ Report issues and challenges identified and negotiate executable action plans with management to address the problems.
¶ Follow-up on reported findings at appropriate intervals.
¶ Perform follow-up audit assignments as per approved audit plan to assure complete and effective compliance in areas already audited with agreed action plan(s) in previous audits.
¶ Carry out review engagement for giving independent negative assurance to business areas where limited assurance is required and identified as medium risk areas as per approved audit plan by management.
